1) Wholesale Terms of Sale

  1. User: These terms apply to purchases made by businesses.

  3. Entity: Orchids America Inc. (“Orchids,” “we,” “us,” “our”)

2) Acceptance & Scope

  1. By opening, visiting, accessing, or using https://partners.orchidsluxhome.com and/or purchasing from Orchids via website, email, phone, or sales representatives, you agree to be bound by these Wholesale Terms of Sale (“Terms”).
  2. These Terms apply to all orders and become part of the contract between you and Orchids. Where these Terms conflict with any dealer/program terms you previously agreed to, these Terms will prevail.
  3. These Terms supplement any terms on our invoices or order confirmations.

3) Account Eligibility & Login

  1. Wholesale access is available only to bona fide businesses in the Residential and Commerical industry.
  2. Existing customers may request login credentials online. Login credentials are issued at our discretion and may be suspended or revoked for misuse.

4) Customer Types & Pricing

  1. All Pricing is determined by the qualification of the customer as per below.
    1. Stocking Dealer Policy
      1. Who is a Stocking Dealer?
        1. A Brick & Mortar Retail Store open to the public
        2. Trade Showroom
    2. Designer Policy
      1. Who is a Designer?
        1. Independent Designer
        2. Interior Design Studio
        3. Architecture Company
        4. Staging Company
  2. Items are billed at prices in effect at the time of order.
  3. All prices are subject to change without notice.
  4. Minimum Order Value per customer group as below-
    1. Client | Opening (First) Order | Reorder
    2. Stocking Dealer | $1500 | $250
    3. Designer | $250 | $250

5) How to Place Orders & Order Processing time

  2. Order Processing Time
    1. 5-7 business days
    2. Order placed during Trade fairs – 14 business days.
    3. Backorders: As per ETA noted on your order confirmation.
  3. For Wholesale Orders – All customers are required by law to supply a state sales tax certificate unless exempted by the customer’s State.
  4. Last Minute Changes to Your Order?
    1. Within 48-hours of full-payment, you can make amendment requests to your order such as:
      1. Change in Shipping Address
      2. Addition of Item
      3. Removal of item
      4. Hold order
      5. Cancellation of Order
    2. Once your Order has been processed for Dispatch (i.e. after 48-hrs of payment collection), we will be unable to make any changes to your order. If you wish to make any changes please refer to the Return & Refund Policy.

6) Payment Terms

  1. We accept full Payment before Dispatch of order.
  2. We accept
    1. Credit and Debit Cards
    2. Checks, Wire Transfers and ACH.
    3. Buy Now and Pay Later via Affirm.

        2. Note: Rates from 0–36% APR. Payment options through Affirm are subject to an eligibility check and are provided by these lending partners: affirm.com/lenders. Options depend on your purchase amount, and a down payment may be required. CA residents: Loans by Affirm Loan Services, LLC are made or arranged pursuant to a California Financing Law license. For licenses and disclosures, see affirm.com/licenses. For example, a $800 purchase could be split into 12 monthly payments of $72.21 at 15% APR.

7) Shipping & Delivery

  1. Your order will be shipped via FedEx ground or Local carrier and reserves the sole and exclusive right to determine the carrier to be used on any shipment.
  2. Special delivery instructions must be provided at the time of ordering. Signature service required or not.
  3. Any ancillary charges incurred from the freight carrier will be the responsibility of the buyer. Orchids maintains the right to send secondary invoices for charges determined by the delivering carrier.
  4. If you have your own account with a carrier, provide us this information at the time of ordering and we will book with your designated carrier. But it will involve a handling fee of 2% of the order value or an amount of $15. (Whichever is higher).
  5. Where we ship from: Our primary warehouse is in the DFW, TX and Houston, TX.
  6. Shipping Rates
    1. Shipping costs for Furniture items will be quoted and charged on dispatch.
    2. Charged at carrier-calculated rates, after you've placed an order we will will email you a quote and charge on dispatch: Canada, Mexico, Alaska, Hawaii, Puerto Rico, U.S. Minor Outlying Islands and U.S. Virgin Islands.
    3. Shipping charges are based on the below slabs-
      1. Order Value | Shipping Rate
      2. Upto $19.99 | $12
      3. $20 – 249.99 | $25
      4. $250 & Over | 12% of Order Value
  7. An Upcharge of $25 will be applicable on any Order below $250.
    1. The Upcharge will be waived for orders consisting only of swatches and/or a swatch book.

8) Returns & Refunds

  1. We accept Returns within 30 days of the order receipt.
    1. Shipping costs to and fro will be borne by the customer.
    2. Include a 20% restocking fee or a minimum fee of $25, whichever is higher.
    3. On Return, return label will be generated by Orchids and Orchids reserves the sole and exclusive right to determine the carrier to be used on any shipment.
  2. Returned items must be received completely unassembled and unused, in their original condition and packaging, complete with all materials. Refunds will be issued once we have received the item and it has been determined to be in the original condition. In the event an item is returned in a condition where it cannot be resold (received damaged or modified from its original packaging/state), you will be charged the full value of the merchandise.
  3. All returns, adjustments, deductions, or chargebacks must be approved by Orchids.
  4. Returns are refunded to the original method of payment.
  5. Sale
    1. Any items purchased on Sale are non-returnable.
    2. Shams/ Quilts/Coverlets purchased on Sale might not coordinate or color match as they might have been manufactured in different batches.
  6. Swatches are final sale and non-refundable.
  7. Exchanges: For a different color/size, the fastest method is to request a return and place a new order.
  8. All Sales become final after 30 days from receipt of shipment.
  9. Damage Claims
    1. Upon arrival, your order should immediately be checked for any discrepancies or damage. If you receive a shipment with obvious freight damage, claims must be reported to the driver upon delivery. Note the damage on the bill of lading, and take a photo, as this will expedite the resolution of your claim with Orchids. If you sign for the shipment without reporting any damage, you are responsible for all damages.
    2. Orchids strives to provide our clients with high-quality merchandise shipped with carrier-approved materials. We understand damages and defects may occur and we apologize for the inconvenience. Claims must be reported to Orchids within seven (7) days of receipt of goods.
    3. Photos of the damage and of any noticeable damage to the inner/outer packaging or boxes are mandatory for claims to be processed. All original boxes and packing material must be retained to have your damage claim processed.
  10. Return Request Submission
    1. To initiate a return, please fill out the official "Return Request Form" here: zfrmz.com/bQaepg02TVihVwS3Ktib. A customer service representative will contact you within 3 working days after your form is submitted.
    2. Please do not email us regarding returns—this form is the only accepted method to process your return request.

9) Limited Warranty

  1. Short version: We cover genuine defects. Normal wear or misuse isn’t covered.
  2. Coverage period: 90-day limited warranty against defects in materials and workmanship from the date of delivery.
  3. What’s not covered
    1. Normal wear and tear, pilling, fading, or shrinkage from washing/drying.
    2. Stains, discoloration, odors, pet damage, cuts, or burns.
    3. Improper care or commercial use.
    4. Some products are handcrafted using natural materials—therefore, no two products are identical and may vary in color, size or finish. We believe that this adds to the value and quality of those products. Small irregularities in sizes, embroidery and color are hallmarks of hand-craftsmanship and should not be considered defects.
  4. Remedy: At our option, we will repair, replace, or refund the item after review.

10) Limitation of Liability

  1. In no event shall Orchids, its affiliates, or agents be liable for incidental, indirect, special, punitive, or consequential damages (including lost profits, revenues, or savings), whether based on contract, warranty, negligence, strict liability, or otherwise.
  2. Notwithstanding the foregoing, Orchids’ total liability shall not exceed the amount paid by you for the product(s) giving rise to the claim.
  3. These limits apply to the maximum extent permitted by law.

11) Disputes & Governing Law

  1. All transactions and any contract or contractual relationship arising from the use of the website shall be governed by the laws of the State of Texas. The Courts of Dallas County, Texas shall have exclusive jurisdiction over any such dispute arising from the website and these Terms of Use.

12) Updates to Terms of Sale

  1. We may update these Terms from time to time. The “Last updated” date appears at the bottom. Your continued ordering constitutes acceptance of the updated Terms.
